Terms of Service

These Terms of Service ("Terms") govern your access to and use of ProTrack (the "Service"), provided by AK Frames Ltd, a company registered in Scotland under company number SC617144 ("we", "us", "our"). By creating an account, subscribing, or using the Service, the organisation you represent ("Customer", "you") agrees to these Terms. If you do not agree, do not use the Service.
The Service is provided to businesses only; it is not intended for consumers.
1. The Service
ProTrack is a workforce-monitoring platform: a desktop agent and a web dashboard that capture and analyse workplace activity for the Customer's own workforce. Features available to you depend on your subscription tier.
2. Accounts and eligibility
- You must provide accurate account information and keep it current.
- You are responsible for your users, for keeping credentials secure, and for all activity under your account.
- The person accepting these Terms warrants they are authorised to bind the Customer.
3. Customer responsibilities as data controller
For personal data processed through the agent about your workforce, you are the data controller and we are your processor. You are responsible for having a lawful basis for monitoring, for informing and (where required) consulting your staff, and for completing any data-protection impact assessment required in your jurisdiction. Our processing on your behalf is governed by our Data Processing terms and our Privacy Policy. You must not use the Service where doing so would be unlawful.
4. Subscriptions, seats and billing
- Plans and pricing. Paid tiers are billed per seat in GBP, where a seat is an active monitored device. Current prices are shown on our pricing page and at checkout.
- Billing cycle. Subscriptions are billed in advance, monthly or annually, until cancelled. Payments are processed by our payment provider, Stripe.
- Trials. Eligible new business customers may receive a 14-day trial on a self-serve paid plan. A valid payment card is required. Unless you cancel before the trial ends, the subscription converts to paid automatically at the price and billing interval shown at checkout.
- Trial eligibility and misuse. Trials are limited to one per organisation, account, billing identity, Stripe customer, and payment method. We may refuse or cancel a trial where our systems identify previous trial use, duplicate identities, or attempted circumvention. Customers who are not eligible may still purchase a paid subscription without a trial.
- Taxes. Prices are exclusive of VAT and other taxes, which are added where applicable.
- Discounts. Any promotional or voucher code applies only as described at the time of issue.
5. Price changes
We may change prices on renewal. We will give reasonable prior notice of any increase, and the new price applies from your next renewal. Continued use after a change takes effect is acceptance of the new price.
6. Cancellation, non-payment and downgrades
- You may cancel at any time from the billing portal; access continues until the end of the paid period. Cancellation and refunds are governed by our Refund & Cancellation Policy.
- If a payment fails, we will attempt to collect and notify you. If it remains unpaid after the grace period stated in the Refund & Cancellation Policy, the workspace is downgraded to the Free tier and paid features become unavailable.
7. Acceptable use
You must not: use the Service unlawfully; monitor individuals without a lawful basis; attempt to breach or probe security; resell or provide the Service to third parties except as permitted; or interfere with the Service's operation.
8. Intellectual property
We retain all rights in the Service. You retain all rights in your data. You grant us the limited rights needed to provide the Service.
9. Availability
We aim to keep the Service available but do not guarantee uninterrupted access. We may modify, suspend, or discontinue features with reasonable notice where practical.
10. Warranties and disclaimers
The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all implied warranties. We do not warrant that the Service is error-free or fit for any particular purpose.
11. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect or consequential loss, or for loss of profits, revenue, or data. Our total aggregate liability arising out of or in connection with these Terms is limited to the amounts you paid us for the Service in the 12 months before the event giving rise to the claim. Nothing limits liability that cannot be limited by law.
12. Suspension and termination
We may suspend or terminate access for material breach, non-payment, or unlawful use. On termination, your right to use the Service ends. Data handling after termination follows our Privacy Policy and data-retention terms.
13. Changes to these Terms
We may update these Terms. Material changes will be notified. Continued use after changes take effect is acceptance.
14. Governing law
These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, without prejudice to any mandatory statutory rights.
